Wardour Pictures Plc.

Is an EIS (Enterprise Investment Scheme) certified company using its broad base of investor capital to develop and produce films on its slate.

The team’s latest project is The Hot Potato, a British ‘caper’ movie based on real events in the late 1960’s.
The film has a superb cast which includes Ray Winstone and Jack Huston, plus other established British and European names as well as new talent. The result will be a film, which is targeted to appeal to the international as well as to the UK market.

The Hot Potato comes at a time when the British film industry is performing strongly, and the Directors feel the Film could be the industry’s next big success. It may even rival the success of classics like The Italian Job, The Lavender Hill Mob and The Wrong Arm of the Law.

The Company is seeking to raise up to a net £1.8 million after expenses of up to £170,000 by the issue of 1,970,000 ‘B’ Shares at £1 per share.

This will finance approximately 30% of the film’s budget of £6.1 million.

The minimum investment is £2,500 (2,500 ‘B’ Shares) and the maximum investment is £500,000
(500,000 ‘B’ Shares) per individual Investor.

Investors may obtain substantial tax benefits under the Enterprise Investment Scheme (EIS).

The Company regards its investors as “film angels” and essential members of the team.
Holders of ‘B’ Shares will be able to:

  1. Have exclusive access to casting, location and investment news through an individual password

  2. Visit appropriate locations of the Film on special VIP days during the shoot to have lunch with the crew and meet the cast;

  3. Participate as extras, in a number of chosen scenes subject to the production schedule;

  4. Attend, with a guest, a private VIP screening of the completed film;

  5. Attend a VIP reception to celebrate the completion of the Film hosted by the Company and   attended by cast members, subject to their availability.

The Directors intend that filming of The Hot Potato will commence in Autumn 2010 and that the Film is delivered in early 2011 in time to be premiered at one of the major international festivals, probably Cannes (May 2011). The festival applied for will depend on the timing of the Film’s completion.

Our Film Sales Agents, Locomotive Entertainment Group (http://www.locomotivegroup.com/) will be marketing the film globally. The Producers and sales agent anticipate that the Film will have a UK cinema release in 2011 followed by an international roll out. This will be subject to contracts with appropriate distributors in the key territories and their distribution schedules and other marketing considerations.

The Company will engage an experienced Public Relations and Marketing Company to market the
Film and create awareness of it prior to its completion.

Tax Credits
The UK Film Production Tax Credits are a UK government grant which is paid to the producers of a UK Qualifying Film (e.g. Wardour Pictures Plc) by HMRC on submission and approval of the Producers’ tax computations and an audit of the qualifying expenditure on the film.

For films of this scale UK Film Production Tax Credits equal 25% of the qualifying expenditure of the film up to a maximum of 80% of the production budget.

The Producers estimate that the amount of the Tax Credit to be received by the Company in respect of the Film will be in the region of £1,098,000, i.e. approximately 18% of the Film Budget expenditure of £6,100,000.

E.I.S. (Enterprise Investment Scheme)
Individuals wishing to invest in ‘B’ Shares may obtain tax relief under the EIS.

The Company’s tax advisors have applied for provisional clearance from HMRC confirming that it would be a qualifying company under the EIS and the CVS.

Providing the Company qualifies and remains qualifying for the following three years qualifying investors under the Offer would qualify for relief. In most cases the relief would reduce the actual cost of the investment by either 20% (Income tax relief) or 38% (combined Income and Capital Gains tax relief).

The Directors strongly advise that Investors seeking such relief should consult their own professional
advisors.
